Terms of Service

1. Description of Service

Countist is a web-based subscription management tool that lets you manually track recurring subscriptions, identify duplicates, compare pricing options, and view upcoming renewals. The Service requires an account and is accessible at app.countist.app.

We do not connect to banks, credit cards, or financial institutions. All subscription data is entered manually by you.

2. Eligibility

You must be at least 13 years old to use Countist. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent that you meet these requirements.

3. User Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at countist@structurl.io if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

You agree to provide accurate, current, and complete information when creating your account. You may not create accounts for others without their consent.

4. Plans, Payments, and Cancellation

Free trial. New accounts receive a 14-day free trial. A valid payment method is required to start the trial. If you cancel before the trial ends, you will not be charged.

Paid plans. After the trial, continued use requires a paid subscription. Pricing is listed on our pricing page. Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your chosen billing cycle.

Auto-renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused time in a billing period, except where required by applicable law.

Price changes. We may change subscription pricing with at least 30 days' advance notice. Continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means (bots, scrapers, crawlers) to access or use the Service
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service's availability to other users
• Impersonate another person or entity

We reserve the right to terminate accounts that violate these restrictions.

6. Your Data

You own the subscription data you enter into Countist. You can export your data at any time from your account settings in CSV format. We will not use your subscription data for purposes other than providing and improving the Service.

By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of operating Countist on your behalf.

7. Intellectual Property

The Countist application, including its design, code, text, graphics, and trademarks, is owned by Structurl, LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

Countist is a tracking and organizational tool. We make no representations regarding the accuracy or completeness of any subscription data you enter, and we are not responsible for financial decisions made based on information in the app.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRUCTURL, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $50.

10. Indemnification

You agree to indemnify and hold harmless Structurl, LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. You may terminate your account at any time from your account settings.

Upon termination, your right to use the Service ceases immediately. You may export your data before deletion. We will delete your data within 30 days of account termination.

12. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration or, where permitted, in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice in the app. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
